Welcome to Jot! We are Jot and our mission is to change how the world connects! We offer products, services and technologies ("Products") allowing users ("Users") to organise, display and share information with their contact through our software, mobile application, and websites (collectively, "Platform")

The platform consists of various web pages ("www.jot.sg" & "www.jot.cards") operated by JOT SG. The platform is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). When You (individually or the entity that You represent, each a "User") access or use our Platform, Product or Services, it will constitute your agreement to all such Terms, our Privacy Policy and our Data Processing Addendum ("Policies").

Hence, please read these terms carefully. You further acknowledge and agree that these Terms and the Policies apply to the purchase and sale of our Products and services through the Platform, including our website (“Site”). If You do not agree to the Terms (or the other Policies), You must not access the Platform or purchase or use any Jot Products.  If you are under the age of 16, You may not use the Platform without the permission of a parent or guardian.  If You are accessing the Platform or purchasing or using any Product on behalf of an organization or company, You are confirming you have the legal authority to bind any such organization or company to these Terms.

You also understand that these Terms are subject to change by us without prior written notice at any time, at our sole discretion.  Any changes to the Terms will be in effect as of the “Last Updated Date” or “Last Revised Date” referenced on the Platform.  Accordingly, it is your responsibility to check for updates and review these Terms before purchasing or using our Products, Platform, or Services available through the Platform.  Your continued use of our Products, Platform, or Services after the “Last Updated Date” or “Last Revised Date” will constitute Your acceptance of and agreement to such changes.

Our store is hosted on Shopify Inc (“Shopify”). They provide us with the online e-commerce platform that allows us to sell our products and services to you. You agree to indemnify us from any liability arising from our use of Shopify’s online e-commerce platform.

 

THE PLATFORM AND OUR SERVICES

Jot is a platform that allows Users to connect socially. The platform allows Users to create, design, maintain, and share social media/networking style profiles or pages (“Pages”). Users may upload and Post a variety of Content to these Pages. Users may be able to search, view, and share Pages of other Users, including individuals or entities. Depending on the nature of the Services or the subscription level associated with an Account, Users may manage their Page or designate an administrator to manage their Page, such as with Private Account, Business Account and Pet Account. You assume certain risks when dealing with other Users on the Platform or by sharing or allowing any other person to view your Page.  You are solely responsible for your decision to use the Platform or otherwise communicate on or through the Platform, and You will be liable for all Your actions on the Platform.

Your use of this Platform is subjected to our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

 

YOUR ACCOUNT

You are responsible for your use of the Platform, and any use of the Platform made using your account (“Account”). We provide various subscription levels for Accounts on the Platform, which may have access to different Services or features on the Platform. Your right to use and access the Platform may be granted pursuant to a specific subscription level, which, at most, grants You a non-exclusive, non-transferable, revocable license to use and access the Platform and associated Services in accordance with the Terms and applicable subscription level.  You may not assign or otherwise transfer your Account to any other individual or entity without our prior written approval.  We reserve the rights to refuse or cancel service, terminate accounts concerning the use of the Platform, including policies that may delete or remove Content or data, terminate inactive Accounts or Pages, and any other policies and practices at Our sole discretion.

If you use this platform, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, mobile phone and you agree to accept responsibility for all activities that occur under your account or password. You acknowledge that Jot is not responsible for third party access to your account that results from theft or misappropriation of your account. We will not be liable for, and you shall indemnify us against, any Losses arising from your failure to comply with these Terms, other Jot Policies, or applicable law.

Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites ("Linked Sites") that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. 

The Linked Sites are not under the control of Jot and Jot is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Jot is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Jot of the site or any association with its operators.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

Third Party Accounts You will be able to connect your Jot account to third party accounts. By connecting your Jot account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

 

ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You shall hold us harmless and indemnify us for any contravention of laws or unauthorized purposes arising from your use of our Service.

A breach or violation of any of the Terms will result in an immediate termination of your Services

 

ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without any notice to you at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

 

PRODUCTS OR SERVICES

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

 

CONTENT, INTELLECTUAL PROPERTY RIGHTS

As Users of our Platform, all information, descriptions, pictures, links, data, text, media, comments, or any other materials, including messages, contact information, etc. (“Content”) that you upload, post, publish, transmit, or display through the Services or on the Platform (“Post”) may be shared with other Users.  By submitting any Content to us or otherwise Posting any Content on the Platform or through the Services, You represent and warrant that You own all rights to the Content or that you have the right to give us the license described below, including the correct and legal permissions and consents for any Personal Information (as defined in our Privacy Policy) you may provide to the Platform or upload by way of the Services. 

By Posting any Content you hereby grant and will grant to us a non-exclusive, worldwide, royalty-free, fully paid up, freely transferable, sub-licensable license to copy, display, transmit, perform, store, modify, and otherwise use in connection with the operation of the Platform or the Services or any of our other Products or Services, or the promotion, advertising, or marketing thereof, in any form, medium or technology now known or later developed.  You further represent and warrant that the Content does not infringe on the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third-party.  We are not under any obligation to review any Content posted by our Users on the Platform or through the Services, although We reserve the right to do so, with or without notice, to prevent or rectify any alleged violations of these Terms, our Policies, or applicable law.  We reserve all defenses made available to Us by the Communications Decency Act and any applicable laws, rules, or regulations.  We may refuse to accept or display any Content and may remove or delete all or any portion of such Content at any time.  You understand that we are not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content and that such Content is not our responsibility.  You may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us with respect thereto. 

Any Content you Post to the Platform or through the Services is not considered by us to be confidential, will be treated as public information.  You agree and understand that such Content is intended to be shared with other Users as well as third-parties.  We have no control or liability over what other Users do with your Content or Posts

You acknowledge the Platform and Services contain images and descriptions that are third-party or User Content protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws.  We retain all rights to our intellectual property and the intellectual property licensed to us from third-parties.  You agree you will not copy, modify, scrape, distribute, create derivative works, or the like, or do or perform any other action on the Platform or with the Services, Content, or our intellectual property that You are exposed to through our Platform or Services that is not explicitly authorized by these Terms or our Policies.  Any use of our Platform or Services other than as specifically permitted in these Terms or our Policies is strictly prohibited.  All goodwill generated from the use of our intellectual property (including the Platform) will inure to our exclusive benefit.  We reserve any rights not expressly granted herein.  Other company, product, and service names and logos used and displayed on the Platform or via the Services may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to us.

No Unlawful or Prohibited Use/Intellectual Property You are granted a non-exclusive, non-transferable, revocable license to access and use Jot.sg strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Jot that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site. All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Jot or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto. 

We do not grant you any licenses, express or implied, to the intellectual property of Jot.

 

USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about our Products, Platform, or Services (“Submissions”) provided to us by you is non-confidential. 

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libellous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website.

If you disagree that your Content will be considered public and will not be considered confidential, then you must not use our Platform or Services.

  

LIMITATION ON LIABILITY

We are not liable for (a) any Content posted on our Platform or through the Services; (b) interactions or communications that may arise between Users; (c) any Losses that result through your use of the Platform or the Services; (d) any negative or critical comments that other Users may Post on the Platform or through the Services; (e) any of the Third Party Service(s) You may be provided pursuant to your use of the Platform or the Services; (f) or any third party Personal Information you upload, Post, or provide to us under the Services or on the Platform.  You are solely responsible for your interactions with other Users.  We reserve the right but are under no obligation to become involved in any dispute between you and another User. 

International Users The Service is controlled, operated and administered by Jot from our offices within Singapore. If you access the Service from a location outside Singapore, you are responsible for compliance with all local laws. You agree that you will not use the Jot Content accessed through the Platform in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

 

INDEMNIFICATION

You agree to release, defend, indemnify, and hold us, our affiliates, and our stockholders, directors, officers, employees, agents, and representatives (collectively, “Indemnitees”) harmless from any losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees (collectively, “Losses”), incurred or sustained by, or imposed upon, the Indemnitees that arise from your actions (or inactions), your use (or misuse) of the Platform or the Services, your breach of these Terms or our Policies, or you and your Account holders' infringement of someone else’s rights.

Jot reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Jot in asserting any available defenses.

 

PDPA

We will, insofar as it is mandated by law under the PDPA and/or it is reasonable, ensure that our obligations and processes are maintained and adhere to the PDPA. Subject to the exceptions referred to in section 21 of the PDPA, you have the right to request access to a copy of your personal data which we may hold about you or information about the ways in which we use or disclose your personal data.

We understand that our product is developed with the intention of transferring basic particulars of a user (as with the details in a physical name card). In the event of any breach, misuse, exploitation, or error of the information contained in our product, you shall hold us harmless for any liabilities, claims, damages, and costs arising out of, or in connect with, the use of the product.

 

PERSONAL INFORMATION

Personal Information and Data submitted to Jot via any platform shall be treated in accordance with our Privacy Policy. In using our platform, you acknowledge and agree to be bound by the Privacy Policy. 

 

RIGHTS AND OBLIGATIONS OF THE USER

You are solely responsible for any Content that you Post on the Platform or through the Services.  We may investigate, take legal action, or perform any other action we deem necessary or warranted in managing our Platform, our Services, your Content, or Posts on the Platform, including, without limitation, preservation of such information for investigative purposes.

you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses without further reference or notice to you. For the avoidance of doubt, we shall not be in any way responsible or a party to your violation of any of the prohibited uses.

Jot shall not be liable or responsible in any way for any user generated content. We does not have any control or supervision over, and is not responsible for, what users access through Jot app and is not responsible for any inappropriate, offensive, obscene, infringing, unlawful or otherwise objectionable or illegal user generated content you may encounter on the Platform.

1. By using the Platform, including registering for a User Account, you represent and warrant that all information provided by you is true, accurate, current and complete to the best of your knowledge and belief. 
2. We reserve the right to reject your application for an account, suspend your use or terminate your account at any time without prior notice to you if you are in breach of these Terms or for any other reason as determined by us at our sole and absolute discretion.
3. Upon successful registration of your account, you:

• Agree to keep your account ID and password confidential and shall not allow other people to use your account.
• Shall update your account as and when there are any changes to your details.
• Shall notify us immediately if you have any reason to believe that the security of your account has been compromised. 
• You are solely responsible for any and all activities which occur under your account. 
• For so long as your account is active, you acknowledge that we shall have the right, at our sole and absolute discretion, without any prior notice to you, to:

• Subject to your PPA, access your account and its contents as and when we consider necessary for specific purposes, including but not limited to, identifying or resolving technical problems with your account; 
• Block your access to your account for the purposes of investigation any breaches by you of these Terms or if we suspect that there is a compromise in the security of your account;
• Suspend, discontinue, remove or disable you from the use of your account should there be any breaches by you or suspicion of irregular transactions, fraud, in which event, you may be referred to the relevant law enforcement agencies for investigation (where necessary).

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. THIRD-PARTY ADVERTISERS

The platform may also contain third party advertisers (that may or may not contain embedded hyperlinks or referral buttons to Linked Websites). The display of such advertising does not in any way imply a recommendation or endorsement by Jot of the relevant advertiser, its products or services or any such Linked Website. You are referred to the relevant advertiser for all information regarding the advertiser and its products and/or services. To the extent permitted by law, Jot accepts no responsibility for any interaction between you and the relevant third party and is released from any liability arising out of or in any way connected with such interaction.

 

ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

 

ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

 

GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Singapore.
